An Extraordinary General Meeting ('EGM') takes place on Wednesday 27th October, 18:30 at 12 Bloomsbury Square.
Extraordinary General Meeting
A notice convening an Extraordinary General Meeting ('EGM') of the Chartered Institute of Arbitrators (the 'Institute') in accordance with Article 19.4 of the Institute's Bye-Laws, on the requisition of 65 members (being held in excess of the minimum (50) that may require an EGM to be convened).
This EGM has been called, for one purpose of tabling, considering and voting upon Resolutions drafted by one of the Institute's member which sets out a procedure for a governance review of the operations of the Board of Trustees to be undertaken.
The Board of Trustees is concerned to address the matters raised by those members who have requisitioned the EGM and has considered it useful to broaden the scope of the proposed governance review to include the operations of the Intitute's Board of Management and Excutive as well as the Board of Trustees. Consequently, the Board of Trustees has approved and wishes the meeting to consider an amended version of the Resolutions. This has been drafted in the context of the Board of Trustees' responsibilities for governance of the Institute under the Institute's Royal Charter and in accordance with the principles of charity law.
The members who have requisitioned the EGM have been made aware of the Trustees' revised Resolutions with a view to seeking their withdrawal of their requisitions. However, the requisitioners still wish the EGM to be called and their Resolutions to be considered at the meeting.
